Terms of Service

1) Definitions

"User" means any person or entity accessing the Platform.

"Buyer" means a User seeking to purchase a vessel.

"Seller" means a User listing or offering a vessel for sale, or acting on behalf of a vessel owner.

"Listing" means a vessel advertisement, data, images, and associated information posted on the Platform.

"Transaction" means any sale & purchase deal for a vessel between Users introduced, initiated, negotiated, or facilitated through the Platform, including negotiations in messages/offers/counter-offers.

2) Platform Role & Scope of Services

SnP-Platform operates exclusively as a technological intermediary and facilitator of maritime sale and purchase transactions. The Platform provides the digital infrastructure for Principals (Buyers and Sellers) to connect, negotiate, and exchange documentation.

While the Platform charges a Success Fee (Commission) for facilitating these introductions, SnP-Platform does not act as a traditional physical shipbroker, technical surveyor, or maritime attorney. We do not physically inspect vessels, verify their classification status, or guarantee their seaworthiness. The role of the Platform is strictly limited to the accurate transmission of data provided by the Users.

3) Eligibility & Account Registration

You must be at least 18 and able to form a binding contract. If you use the Platform on behalf of a company, you represent you are authorized to bind that company.

You agree to provide accurate registration information and keep it updated. You are responsible for all activity under your account.

4) User Verification & Security

To maintain the integrity of the marketplace, SnP-Platform reserves the right to implement Know Your Customer (KYC) procedures. We may require corporate registry documents or proof of identity before approving full access.

The Platform maintains a Zero-Tolerance Policy towards fraudulent listings or 'phishing' attempts. We reserve the right to immediately suspend or terminate any account that:

• •Provides false or misleading vessel data.
• •Attempts to circumvent the Platform's communication tools.
• •Is flagged by our internal security systems or reported by other users as suspicious.

SnP-Platform shall not be liable for any damages resulting from interactions with fraudulent accounts, although we employ commercially reasonable efforts to prevent such activity.

We may use third-party tools and manual review. Verification does not guarantee trustworthiness, ownership, authority, or accuracy of any Listing or User statement.

5) Listings & Seller Obligations

If you post a Listing, you represent and warrant that:

• •You have the legal authority to list/sell the vessel or act on behalf of the owner (and can evidence this).
• •Your Listing is truthful, complete, and not misleading, including material facts affecting value/condition.
• •Photos and documents are genuine and you have rights to upload them.
• •You will not list vessels or parties subject to sanctions, embargoes, or illegal trade restrictions.

We may remove Listings or require edits/documents at any time.

6) Buyer Obligations & Due Diligence

Buyers are solely responsible for:

• •Inspections, surveys, sea trials, title checks, class status, encumbrances, sanctions screening, and legal review;
• •Confirming that the Seller has authority and that the vessel is free of liens or restrictions unless disclosed.

7) Negotiation Tools, Offers & "Term Acceptance"

The Platform may provide structured negotiation tools (offers, counters, term-by-term acceptance).

Any "Accepted/Agreed" label is a convenience feature only and does not create a binding contract unless and until the parties execute a definitive written agreement (e.g., MOA) or otherwise expressly agree in writing outside/inside the Platform with clear intent to be bound.

8) Prohibited Conduct

You agree not to:

• •Post false, deceptive, or fraudulent Listings or documents;
• •Impersonate others or misrepresent authority;
• •Attempt to bypass platform fees/commission;
• •Violate sanctions/AML laws, export controls, or anti-corruption laws;
• •Scrape data, harvest emails, reverse engineer, or attack the Platform;
• •Upload malware or harmful content;
• •Use the Platform to send spam or unsolicited marketing.

9) Content & User License

You retain ownership of your Content. You grant SnP-Platform a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute your Content as necessary to operate and market the Platform (including showing Listings to other Users).

You are responsible for ensuring you have all rights needed to upload Content.

10) Commission, Fee Trigger & Anti-Circumvention

Platform Commission: Where both Seller and Buyer are connected, introduced, or brought together through the Platform, SnP-Platform shall charge a total commission equal to 0.3% of the final vessel sale price ("Platform Commission"), unless otherwise agreed in writing.

Transactions involving an off-Platform counterparty: Where a Seller or Buyer using the Platform enters into a Transaction with a counterparty that was not introduced, sourced, or connected through the Platform, any brokerage commission payable to SnP-Platform in connection with such Transaction shall instead be separately agreed between the relevant parties in accordance with normal ship sale and purchase brokerage practice and the terms of the particular Transaction.

When Commission is earned: The Commission is earned when the parties enter into a definitive sale agreement and completion occurs (delivery/title transfer), or the parties otherwise close a Transaction that was introduced/initiated/facilitated via the Platform.

Duty to Notify: The Seller shall immediately notify SnP-Platform in writing upon the signing of a Memorandum of Agreement (MOA) and again upon the successful delivery of the vessel. The Seller must provide the final delivery date and the confirmed final sale price to enable accurate invoicing.

Payment terms: Unless otherwise agreed, Commission is payable within 30 days of completion/delivery against invoice.

Primary Payer: Unless otherwise agreed in writing, the Commission shall be borne and paid solely by the Seller.

Anti-circumvention: If Users connect via the Platform and complete a Transaction off-platform (including via affiliates, intermediaries, or related entities) to avoid Commission, the Commission remains due.

11) No Warranty; Platform Availability

The Platform is provided "as is" and "as available." We do not warrant that the Platform will be uninterrupted, error-free, secure, or that any Content is accurate or complete.

12) Limitation of Liability & Vessel Condition

All vessel listings, specifications, and technical data are provided directly by the Sellers. SnP-Platform publishes this information on an 'As Is, Where Is' basis and 'Without Guarantee' (W.O.G.).

The Platform explicitly disclaims any liability regarding:

• •The accuracy, completeness, or validity of vessel specifications (speed, consumption, engine hours, etc.).
• •The legal ownership status or existence of liens/encumbrances on any listed vessel.
• •The financial standing or ability of any Buyer to complete a transaction.

Users are solely responsible for conducting their own due diligence, physical inspections, and class record reviews prior to entering into any binding agreement.

The Platform may link to third-party sites (e.g., document storage). We are not responsible for third-party services, uptime, or their content.

13) Limitation of Liability

To the maximum extent permitted by law:

• •SnP-Platform is not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits/revenue/business/data.
• •Our total liability arising out of or related to the Platform will not exceed (a) the Commission paid to SnP-Platform in the 12 months preceding the event, or (b) EUR 1,000, whichever is greater.

Some jurisdictions do not allow certain limitations; in those cases, liability is limited to the maximum extent allowed.

14) Indemnity

You agree to indemnify and hold harmless SnP-Platform and its directors, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your Listings/Content, your Transaction conduct, your breach of these Terms, or your violation of laws or third-party rights.

15) Suspension, Termination & Removal

We may suspend/terminate accounts or remove Content at any time, with or without notice, including for compliance, fraud, security, or Terms violations.

Termination does not eliminate obligations that should survive (Commission, indemnity, limitations, etc.).

16) Confidentiality of Deal Discussions

Messages and shared documents may contain confidential information. Users agree to use such information only for evaluating or executing a Transaction, and not to misuse or disclose it, except as required by law or professional advisors under confidentiality.

17) Changes to the Platform or Terms

We may modify the Platform and/or these Terms. Material changes will be notified via the Platform or email. Continued use after changes means acceptance.

18) Governing Law & Dispute Resolution

Governing law: These Terms shall be governed by the laws of England & Wales.

Dispute resolution: Good-faith negotiation first. If unresolved, disputes shall be resolved by binding arbitration under International Commercial Arbitration Rules, seated in London, England, in English.

19) Standard Forms & Templates

The Platform may make available standard maritime industry forms (e.g., BIMCO Saleform, NSF) or other templates for download ("Forms").

No Legal Advice: These Forms are provided for convenience only and do not constitute legal advice. SnP-Platform does not guarantee that any specific Form is suitable for your transaction or jurisdiction.

User Responsibility: You are solely responsible for reviewing, editing, and completing these Forms with your own legal counsel.

No Liability for Errors: SnP-Platform explicitly disclaims any liability for errors, omissions, or outdated clauses contained within these downloadable Forms, or for any legal consequences arising from your use of them.
